SPV Management and Ownership

             Global establishes and provides equity capital to the SPV. This equity may include substantial common or preferred equity. Global’s in-house legal staff prepare the SPV’s organizational documents in consultation with deal counsel and create SPVs in their domestic jurisdiction. Ongoing corporate management services include maintaining the corporate minute book, preparing and authorizing corporate resolutions on behalf of the SPV, preparing annual reports and ensuring that the SPV remains in good standing in the jurisdictions in which it is qualified to do business.


Commercial Paper Administration Services

             Global's commercial paper administration platform, whether measured by program size or employees engaged in the provision of service, is the largest in the industry. We are proud to have a select group of financial institutions with whom we partner to administer the world's largest, most prestigious financing vehicles. Our services, including implementation of proprietary software and development of SPV policies and procedures, provide a complete back office solution for program sponsors. Global Securitization's staff is intimately familiar with settlement and compliance procedures and has built interfaces with all of the major placement agents, depositaries, and clearing organizations. In addition to reducing the staffing requirements of our clients, the experience of our staff ensures accuracy and efficiency in a program's treasury, financial reporting, audit, tax and compliance functions.


Accounting and Treasury Services

             Accounting services include general ledger maintenance, financial statement preparation and special reporting on behalf of the SPV. Global also engages an accounting firm on behalf of the SPV and coordinates the year-end audit process and tax return filings. The firm provides treasury management functions such as coordinating the issuance of debt; maintaining the related maturity schedules; initiating wire transfer payments; coordinating cash settlement procedures based upon transaction specific documentation; and, managing cash flows to ensure excess cash is used to i) repay maturing debt, (ii) fund program assets, and (iii) pay outstanding program expenses. Proprietary software supports asset/liability management, posting of general ledger journal entries, and generation of accrual schedules and seller invoice statements.


Independent Directorship Services

             Global provides experienced individuals to serve as independent directors of unaffiliated SPVs to meet the legal requirements of bankruptcy-remoteness. Major asset classes include: trade and consumer receivables, automobile loans/leases, mortgages, real estate financing, intellectual property, and others. Clients for whom we provide this service are typically major corporations and financial institutions. Our experienced staff helps to achieve a timely closing with minimal disruption to the structure.
